These Terms are between you and Foundry XD LLC, a California limited liability company doing business as FoundryXD ("we", "us", "our"). By accessing foundryxd.com, engaging us for services, or using any application we operate, you agree to these Terms. If you do not agree, do not use our website or services.
FoundryXD is a web design studio that designs, builds, hosts, and maintains websites for clients, and manages advertising campaigns for clients who ask for it. Specific client work is governed by a separate written agreement or proposal, which controls if it conflicts with these Terms.
We operate a private Discord application ("Overseer") used internally by our team. It is governed by its own application terms and privacy policy.
Care plans cover hosting, domain management, updates, and a set amount of content editing each month. The plan name, the monthly price, the billing interval, and what the plan includes are shown on the checkout page before you pay, and are repeated in the receipt we email you.
Care plans renew automatically at the end of each billing period, at the same price and interval, until you cancel. You authorize us to charge your saved payment method on each renewal date. We will email you before any price change takes effect, and the new price applies only to periods that begin after that notice.
You may cancel a care plan at any time, effective at the end of the current billing period. Cancel by emailing [email protected] from the address on the account, or by replying to any billing email from us. If you started the plan online, you may cancel online through the same link, without speaking to anyone.
When a plan ends, hosting and maintenance stop. Sites we host go offline at the end of the paid period unless you have moved the site to hosting you control. On request before that date we will hand over the site files and the domain at no charge.
Care plan fees are charged for the period ahead and are not refundable for a period already started, except where California law requires a refund. Build fees and deposits are governed by the written agreement for that project. If we charge you in error, tell us within 60 days and we will refund the incorrect amount.
Where we manage advertising, we operate the campaign inside an advertising account that you own and that is billed directly by the advertising platform. Our fee is for management only and does not include your ad spend. We do not guarantee any placement, cost per result, or volume of leads, and platform policies and pricing are outside our control. You may revoke our access to your advertising account at any time.
You agree not to use our website or applications for any unlawful purpose, to interfere with their operation or security, to attempt unauthorized access, or to infringe the rights of others.
The FoundryXD name, site content, and branding are owned by us unless otherwise noted. Ownership of client deliverables is set out in the relevant client agreement.
Our website and applications are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the fullest extent permitted by law.
To the fullest extent permitted by law, Foundry XD LLC is not liable for indirect, incidental, or consequential damages arising from use of our website or applications. Liability relating to paid client work is limited as described in the applicable client agreement.
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising from these Terms, and both parties consent to venue there. Nothing here limits any right you have under California consumer protection law, including the Automatic Renewal Law.
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the revised Terms. Changes to price or renewal terms are handled under section 4.
